SOFTWARE LICENSE AND LIMITED WARRANTY
This is a legally binding agreement between you and ProperSoft Inc. ("the Author"), the author of all software available on the ProperSoft website (www.propersoft.net) (from now on the "Software"). By installing and using this software, you agree to become bound by the terms of this agreement.
If you do not agree to the terms of this agreement, do not use this software. Because the software is distributed as a fully-functional trial version, simply delete it.
TRIAL LICENSE. You can request the trial license to allow you to use the software with limitations (number of transactions processed per file, for example), so you can try the software before the purchase.
GRANT OF LICENSE. The Author grants to you a non-exclusive right to use this software program (from now on the "Software") by the terms contained in this Agreement. You may use the Software on a single computer for the personal license, on up to three computers within your organization for the commercial license and unlimited number of computers within your organization for the commercial suite license.
RESTRICTIONS ON USE. This software must not be decompiled, disassembled, reverse-engineered or otherwise modified.
UPGRADES. If you acquired this software as an upgrade of a previous version, this Agreement replaces and supersedes any prior Agreements. You may not continue to use any prior versions of the Software, and nor may you distribute prior versions to other parties.
OWNERSHIP OF SOFTWARE. The Author retains the copyright, title, and ownership of the Software and the written materials.
COPIES. You may make as many copies of the software as you wish for your use. You may not distribute copies of the Software or accompanying written materials to others.
TERMINATION. This Agreement is effective until terminated. This Agreement will terminate automatically without notice from the Author if you fail to comply with any provision of this Agreement. Upon termination, you shall destroy the written materials and all copies of the Software, including modified copies, if any.
DISCLAIMER OF WARRANTY. The Author disclaims all other warranties, express or implied, including, but not limited to, any implied warranties of merchantability, fitness for a particular purpose and no infringement.
In no event shall the author of this software be held liable for data loss, damages, loss of profits or any other kind of loss while using or misusing this software.
OTHER WARRANTIES EXCLUDED. The Author shall not be liable for any direct, indirect, consequential, exemplary, punitive or incidental damages arising from any cause even if the Author has been advised of the possibility of such damages. Certain jurisdictions do not permit the limitation or exclusion of incidental damages, so this limitation may not apply to you.
PROPERTY. This software, including its code, documentation, appearance, structure, and organization is an exclusive product of the Author, which retains the property rights to the software, its copies, modifications, or merged parts.
License purchase is a one-time fee and lifetime for the version of the software purchased, either for one product or AccessAll license.
You will receive free updates for the version of the Software you purchased until new major version of the Software is released.
When new major version is released, you can keep using the software, but will no longer receive updates.
You will be offered (by email or on the Author website) to upgrade to new version with no obligation to purchase.
Unlike other companies offering no refunds for the conversion software simply because software may not be needed after the conversion is done, ProperSoft stands behind the software it offers. Your can request refund within 14 days from the date the was placed from the Support page. You must indicate the reason for refund and provide sufficient details to support your claim, and ProperSoft support will try to resolve the issue. If your license were not yet activated, you would get your refund. If your license was already activated (therefore you could convert your files without restrictions), refunds are provided only for confirmed and unresolved issues directly related to the Software.
If the issue you are requesting about is confirmed as directly related to purchased ProperSoft software, and cannot be solved in reasonable time (depending on the nature of issue), you will receive a refund. ProperSoft's ultimate goal in this matter is to make the software working for your specific case and at the same time to protect itself from cases when the software was used, and refund was requested.
Optional conversion support subscription is offered during the purchase process. You can decline offered support by deselecting it on the checkout page.
Conversion support subscription is free for the first month. ProperSoft will send you email through the payment gateway prior the support renewal allowing you to cancel the support before the first charge.
You will be sent a renewal confirmation email allowing to cancel the support any time.
You can contact the Author through the Support page to cancel the support subscription for you.
When the support subscription canceled, you still have the support available to you until the end of the last subscription period. The cancellation email sent to you has the last date of your support.
You can request the last support renewal charge to be refunded within 14 days from the renewal date. In this case, you will last support renewal charge refunded, but your support will be canceled immediately.
Support subscription provides free upgrade to the next version at no additional charge.
Support is like insurance - its value is neglected when everything is fine, but when you need it, you wish you should have it.
As a precaution to unauthorized software usage, any disputes for placed orders will result in all licenses under the same account revoked. If you do know what the charge is, please contact support to get your refund proper way. ProperSoft follows declared refund policy and offers additional options to help you resolve the issue with your order.
Please purchase the Business or Business site licenses if you have multiple users using the software. For personal licenses, only one user must use the software. As stated earlier, desktop/laptop dual activation is permitted. For Business and Business Site licenses, the users must be active employees/members of the same organization originally purchased the software. When unauthorized license usage is detected, the license will be revoked. Please contact support to resolve any doubts or questions for the license usage and application.
